1. Agreement to Terms
These Terms & Conditions ("Terms") govern access to and use of the website, dashboard, and AI agent platform operated by aryyo ("aryyo", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise using the platform (collectively, the "Services"), you agree to be bound by these Terms on behalf of yourself and the organization you represent ("Organization", "you").
If you do not agree to these Terms, do not use the Services.
2. The Services
aryyo provides a multi-tenant platform that lets Organizations configure AI agents ("chatbots") which connect to the Organization's own systems via API integrations and respond to end users across channels such as WhatsApp, Telegram, SMS, and web chat. The Services include a dashboard for managing chatbots, users, API tools, and subscriptions, and the underlying AI agent pipeline that plans and executes responses.
3. Accounts
You must provide accurate and complete information when creating an account, and keep your credentials secure. You are responsible for all activity that occurs under your account, including actions taken by users you invite to your Organization. Notify us promptly of any unauthorized use of your account.
4. Plans, Billing, and Payments
Plans. aryyo offers free and paid subscription plans with different features, usage limits, and billing cycles, as described on our pricing page or in your dashboard.
Billing. Paid plans are billed in advance for the applicable billing cycle. Prices may be displayed and charged in multiple currencies depending on your account settings.
Payment methods. We use third-party payment processors, including Stripe for card payments and mobile money providers (such as M-Pesa via the Daraja API, Flutterwave, and Paystack) for regional payment methods. By providing a payment method, you authorize us (and our payment processors) to charge it for all fees owed.
Failed payments and dunning. If a payment fails, we may retry the charge, send reminders, and, if the account remains unpaid, suspend or downgrade access to the Services after a reasonable grace period, as described in your plan terms.
Refunds. Except where required by law, fees are non-refundable. If you cancel a subscription, you will retain access to the relevant plan features until the end of the current billing period.
Taxes. Fees are exclusive of any applicable taxes, levies, or duties, which you are responsible for paying.
5. Acceptable Use
You agree not to use the Services to:
- Build chatbots that send unsolicited bulk messages (spam), or that violate the policies of the messaging platforms you connect (e.g., WhatsApp Business Policy, Telegram Bot terms)
- Collect or process personal data unlawfully, or without appropriate notice and consent from your end users
- Attempt to bypass, disable, or probe security controls, including the SSRF protections that restrict API tool calls to public, non-private network addresses
- Use the platform to generate content that is unlawful, fraudulent, defamatory, or infringes third-party rights
- Reverse engineer, resell, or sublicense the platform except as expressly permitted by a written agreement with us
We may suspend or terminate access for accounts that violate this section.
6. Your Content and Data
You retain ownership of the data you upload to aryyo, including documents, API configurations, instructions, and conversation data generated by your end users ("Organization Data"). You grant aryyo a limited license to host, process, and transmit Organization Data solely to provide the Services.
You are responsible for ensuring you have the necessary rights and consents to upload Organization Data and to process your end users' conversations through aryyo, including compliance with applicable data protection laws in the jurisdictions where your end users are located.
7. AI-Generated Responses
The Services use large language models to generate responses based on your configuration, instructions, and connected systems. AI-generated responses may occasionally be inaccurate or incomplete. You are responsible for reviewing your agent's configuration and instructions, and for any decisions made by your business or your end users in reliance on AI-generated responses. aryyo does not guarantee the accuracy of AI-generated content.
8. Third-Party Integrations
The Services allow you to connect third-party systems (such as your own APIs, payment gateways, CRMs, and messaging platforms) as tools your AI agent can call. Your use of these third-party services is subject to their own terms and privacy policies. aryyo is not responsible for the availability, accuracy, or conduct of third-party services.
9. Service Availability
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify, suspend, or discontinue features of the Services with reasonable notice where practicable.
10. Intellectual Property
aryyo and its licensors retain all rights, title, and interest in and to the platform, including its software, design, trademarks, and documentation. Nothing in these Terms grants you any rights to aryyo's intellectual property except the limited right to use the Services as described herein.
11. Termination
You may cancel your subscription at any time through the dashboard or by contacting us. We may suspend or terminate your access to the Services if you breach these Terms, fail to pay fees when due, or if required to do so by law. On termination, we may delete Organization Data after a reasonable period, except where retention is required by law.
12. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, aryyo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.
13. Indemnification
You agree to indemnify and hold aryyo harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your Organization Data, or your violation of these Terms or applicable law.
14. Governing Law
These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Kenya.
15. Changes to These Terms
We may update these Terms from time to time. We will indicate the date of the latest revision at the top of this page, and material changes will be communicated to Organizations via email or through the dashboard. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
